By accessing and using ShipCentro's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any part of these terms, you must discontinue use of our services immediately.

You must be at least 18 years old and capable of entering into legally binding contracts to use our services.

ShipCentro provides shipping optimization and fulfillment services, including but not limited to:

• Multi-carrier shipping rate comparison and optimization
• Order fulfillment and warehouse services
• FBA preparation and forwarding
• Returns management
• Shipping analytics and reporting
• API integration services

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

Account Responsibilities

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services for any illegal or unauthorized purpose
• Ship prohibited, dangerous, or illegal items
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit viruses or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Use our services to harm or defraud others

Shipping Requirements

You acknowledge and agree that:

• You will comply with all carrier requirements and restrictions
• You will properly package and label all shipments
• You will provide accurate shipment information
• You are responsible for customs documentation for international shipments

Billing and Payment

• All fees are due and payable in accordance with your service agreement
• We accept major credit cards and ACH transfers
• Prices are subject to change with 30 days notice
• You are responsible for all applicable taxes
• Late payments may incur interest charges

Refunds and Disputes

Refund requests must be submitted within 30 days of the transaction. Disputes must be reported immediately. We reserve the right to suspend services for accounts with outstanding balances.

All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by ShipCentro or its licensors and are protected by intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works without our express written permission.

User Content

By submitting content to our services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute such content for the purpose of providing our services.

You agree to defend, indemnify, and hold harmless ShipCentro, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Your shipment contents or packaging
• Any misrepresentation by you

Either party may terminate the service agreement:

• With 30 days written notice
• Immediately upon material breach by the other party
• If required by law or court order

Upon termination, you must pay all outstanding fees and we will return or destroy your confidential information upon request.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be resolved through binding arbitration in Dallas, Texas, in accordance with the rules of the American Arbitration Association.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our services. Your continued use after such modifications constitutes acceptance of the updated Terms.
